GENERAL TERMS AND CONDITIONS OF SALE
All orders placed with Dolav UK Limited, directly or through any entity acting on its behalf, are accepted subject to the following General Terms and Conditions of Sale. The placing of an order implies an acceptance of the terms and conditions herein stated.
Dolav UK Limited shall sell and delivery to the BUYER and the BUYER shall buy and accept from Dolav UK Limited the goods described in the front page hereof.
Dolav UK Limited shall deliver the goods to the BUYER according to the terms and at the place specified in the front page hereof.
3. TITLE OF GOODS
The ownership of the goods

and the title thereto shall remain vested solely in Dolav UK Limited until full payment therefore is received by Dolav UK Limited, notwithstanding the fact that possession of the goods has been transferred to carrier, to the BUYER or to any third party. The BUYER shall not purport to pledge the goods nor shall he create any rights of third parties in respect thereto before full payment in respect of the goods is received by Dolav UK Limited.
4. RISK OF LOSS
Risk of loss or damage to the goods and risk of any damage whatsoever caused by the goods shall pass from Dolav UK Limited to the BUYER upon actual delivery as per clause 2 above.
a) Dolav UK Limited guarantees the goods to be free from defects in material and workmanship for a period of one year dating from delivery to the Buyer. This warranty is subject to sub clause (b) hereunder and is limited to the repair or the replacement of the defective item or to Dolav UK Limited Crediting the BUYER with the amount received by DOLAV in respect of the relevant item, al at the discretion of Dolav UK Limited.
b) Subject to sub clause (a) above, any claim should be made in writing within 8 days of the discovery of the defect, beyond which period the rights of the BUYER as per this clause will expire.
c) In no event shall Dolav UK Limited be liable for any consequential or indirect damages, or for any damages the amount of which exceeds the price paid by the BUYER for the relevant item. Dolav UK Limited will in no event be liable for contingent liabilities arising out of the use of the goods in any manner whatsoever.
All goods are to be collected from the ex-works point specified on this quotation except where another delivery point is specified. Where the quotation states carriage paid to a specific address the BUYER is responsible for unloading and the cost thereof. Delivery times are to be agreed by the parties. Any additional costs incurred when attempting collection outside the times agreed are borne by the attempting party.
7. TIME LIMITATION OF PROFORMA
Where the front page hereof is a Proforma Invoice it shall be deemed as quotation sale only, and shall be accepted and confirmed by Dolav UK Limited only if signed by the BUYER and returned within 30 days. Notwithstanding anything to the contrary, these Terms and Conditions shall apply and bind the BUYER even if the BUYER has not signed this Proforma Invoice, and a written order was placed.
8. FORCE MAJEURE
Dolav UK Limited shall be released from the performance of its obligations hereunder and shall not be held responsible for failure to make delivery of the goods or for delays in delivery thereof due to any cause, contingency or circumstances beyond its control, including but not limited to acts of God, acts of State, strikes, or delays in transportation.
9. PROPER LAW The Terms and Conditions contained herein shall be governed by and construed in accordance with laws of England and Wales.
